JEWISH HOSPITAL PRESIDENT DOUG SHAW ANNOUNCES RETIREMENT PLANS

LOUISVILLE, KENTUCKY (July 12, 2004) – Hank Wagner, President and Chief Executive Officer of Jewish Hospital HealthCare Services (JHHS), today announced that Jewish Hospital President and JHHS Senior Vice President Doug Shaw will begin his transition into retirement.

Wagner also announced that Timothy Jarm, currently President and CEO of Clark Memorial Hospital has been named Jewish Hospital President Designate effective September 1, 2004. Clark Memorial Hospital, located in Jeffersonville, IN, is a member of the Jewish Hospital Health Network. The Clark Memorial Hospital Board of Trustees will immediately initiate a national search for a new CEO, which is expected to be complete in four to six months.

Shaw, who began working for 442-bed Jewish Hospital in 1974 as Vice President, will continue to work at JHHS until a later date to be determined. Under Shaw’s guidance, Jewish Hospital was the site of the world’s first successful and nation’s second hand transplants and the world’s first and second successful AbioCorâ totally implantable replacement hearts. Shaw was instrumental in establishing Kentucky’s first air ambulance service (still in existence today -- STATCAREâ) and helped Jewish Hospital earn the Federal Designation of being the first hospital in Kentucky and the 13th in the nation approved by Medicare to perform all five solid organ transplants at The Transplant Center.

During Shaw’s tenure, Jewish Hospital’s medical and teaching affiliations significantly expanded with the University of Louisville School of Medicine. He also helped pioneer the concept of physician outreach network programs throughout Kentucky and southern Indiana.

“Doug has made significant contributions to this organization and to the community at large,” said Wagner. “He has helped move Jewish Hospital into a top-tier research organization and his leadership has been instrumental in helping us achieve the many medical firsts that we have accomplished on a state, regional and national basis.”

“Doug’s tenure at Jewish Hospital has been marked by tremendous clinical advancements that have directly impacted patient care for many,” said Lowell Katz, M.D., Jewish Hospital Medical Staff President. “The clinical programs that have been developed in partnership with our medical staff continue to break new ground from cardiovascular illness to advancements in transplantation and beyond.”

Jarm has led the 241-bed Clark Memorial Hospital for four years. He will continue at Clark Memorial to help ensure the development of a consistent 2005 Business Plan and a smooth transition with the new Clark Memorial CEO.

“Tim has shown a tremendous ability to motivate people within the Clark Memorial organization,” said Wagner. “His insight into the dynamics of combining team member, physician and patient satisfaction together has been instrumental in creating an environment for positive change.”

During Jarm’s tenure, patient satisfaction numbers have steadily increased, along with team member satisfaction. Last year, the hospital received the Indiana Business Magazine’s BKD Gold Quality Improvement Award for Health Care providers in Indiana and the Overall Quality Improvement Award for 2003 across all Indiana industries. Jarm, who joined JHHS in 1992, served as CEO of Jewish Hospital Shelbyville from 1994 to 2000 and received the Modern Healthcare “Up and Comer” Award for his achievements in Shelbyville in 1999.

“Tim has done an excellent job in leading the Clark Memorial organization in transforming our culture,” said Gordon L. Gutmann, M.D., Chairperson of the Clark Memorial Board of Trustees. “Together with the Clark Memorial board, he has identified a strategic direction for the hospital that will continue to develop in the years ahead. I’m pleased that JHHS recognizes Tim’s outstanding leadership at Clark Memorial and that he will continue to be an integral part of JHHS.”

Strategic Planning for Senior Management Transition
By announcing the transition plans so far in advance, Shaw and Jarm will have the opportunity to work together in continuing key relationships with Jewish Hospital’s strategic partners in the community. Shaw will also have the opportunity to work with Jarm through the Jewish Hospital budget planning process for 2005 as well as other strategic initiatives in which the hospital is currently engaged.

“The transition of these senior management positions was announced at the JHHS board a year ago. We have been actively engaged with senior management and an outside consultant who specializes in succession planning in identifying the next generation of JHHS management,” said Julian Shapero, Chairman of the JHHS Board of Trustees. “These announcements give us pause to reflect on the dynamic successes that have taken place over the last thirty years and also to look forward to the continued growth of the organization.”
